End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and GoGPS (“Company,” “we,” or “us”) for the use of GoAnalytics (“Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

  1. License Grant

GoGPS grants you a non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes in accordance with this Agreement.

 

  1. Restrictions

You agree not to, and you will not permit others to:

  • Modify, adapt, translate, or create derivative works based on the Software.
  • Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.
  • Rent, lease, lend, sell, redistribute, or sublicense the Software.
  • Use the Software for any illegal or unauthorized purpose.

 

  1. Ownership

The Software is licensed, not sold. GoGPS and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein.

 

  1. Updates

GoGPS may provide updates or enhancements to the Software. Any such updates shall be deemed part of the Software and subject to the terms of this Agreement.

 

  1. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from GoGPS if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software.

 

  1. Disclaimer of Warranties

The Software is provided “AS IS” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. GoGPS does not warrant that the Software will meet your requirements or that its operation will be uninterrupted or error-free.

 

  1. Limitation of Liability

In no event shall GoGPS be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, business interruption, personal injury, loss of privacy) arising out of or in any way related to the use of or inability to use the Software.

 

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

 

  1. Entire Agreement

This Agreement constitutes the entire agreement between you and GoGPS regarding the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
